IMPORTANT NOTICES TO PARTICIPANTS
A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING OR RECEIVING ANY PRIZE. WHERE REQUIRED BY APPLICABLE LAW, A FREE ALTERNATIVE METHOD OF ENTRY MAY BE AVAILABLE AS DESCRIBED IN THESE RULES. THIS CHALLENGE IS VOID WHERE PROHIBITED BY LAW.
THESE RULES CONTAIN A LIMITATION OF LIABILITY CLAUSE (SECTION 16) AND, WHERE APPLICABLE, AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 19). PLEASE READ THESE SECTIONS CAREFULLY BEFORE PARTICIPATING.
BY PARTICIPATING IN THIS CHALLENGE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE RULES AND BY THE APP’S TERMS OF USE, WHICH ARE INCORPORATED HEREIN BY REFERENCE.
These Official Rules and Terms & Conditions (the “Rules”) govern participation in the Dancebit: Weight Loss Dance promotional challenge (the “Challenge”) organised by Gismart Limited in connection with the mobile application “Dancebit: Weight Loss Dance” (the “App”). The Challenge is separate from the subscription-based “Challenge” refund programme described in the App’s Terms of Use.
These Rules are intended to ensure transparency and legal compliance across all jurisdictions in which the Challenge is offered. Capitalised terms used but not defined in these Rules have the meanings given to them in the App’s Terms of Use.
1. ORGANISER
The Challenge is organised and operated solely by Gismart Limited, a private limited company incorporated and registered in England and Wales with company number 10152488, whose registered office is at 151 Wardour Street, London, England, W1F 8WE (the “Organiser”, “we”, “us”, or “our”).
Depending on your location, payment and subscription processing in connection with the App may be facilitated by authorised merchant-of-record partners (Scalence Limited or Fulfilling Inc.) as described in the App’s Terms of Use. Those partners have no role in the administration of this Challenge, the selection of winners, or the delivery of prizes.
The Challenge is an independent promotional campaign conducted solely through the App. It is not a joint promotion with, and is not sponsored, endorsed, or administered by, any social media platform (including Instagram, TikTok, Facebook, YouTube, or any other platform), app store (including the Apple App Store or Google Play Store), or any third party. Any social media platform associated with the Challenge is released from all liability in connection with it.
2. DEFINITIONS
In these Rules, the following definitions apply:

"App" means the mobile application “Dancebit: Weight Loss Dance” operated by the Organiser.
-
"Challenge Period" has the meaning given in Section 4.
-
"Completed Participant" means an eligible participant who has satisfied all conditions required to complete the Challenge as described in Section 6.
-
"Entry" means a valid and complete submission made in accordance with Section 5 of these Rules.
-
"Main Prize" means one of the prizes described in Section 7, awarded by random draw to eligible Completed Participants.
-
"Promotional Funnel" means the web-based or in-app questionnaire, quiz, or onboarding flow through which users may be presented with a subscription offer and through which entry to the Challenge may be facilitated.
-
"Terms of Use" means the Organiser’s terms of use applicable to the App, as amended from time to time, available at https://www.dancebit.dance/ and within the App.
-
"UGC" or “User-Generated Content” means photos, videos, written content, or other materials created or submitted by a participant in connection with the Challenge.
3. ELIGIBILITY
3.1 General Eligibility. The Challenge is open to natural persons who, at the time of entry, satisfy all of the following criteria:
-
are at least 18 years of age (or the age of majority in their jurisdiction of residence, if higher);
-
are resident in a jurisdiction in which the Challenge is not prohibited by applicable law;
-
hold a valid and active account in the App; and
-
comply with these Rules in full.
3.2 Exclusions. The following individuals are not eligible to participate:
-
employees, officers, directors, contractors, agents, or consultants of the Organiser or any of its subsidiaries, affiliates, or related entities;
-
immediate family members (including spouses, domestic partners, parents, siblings, and children) or members of the same household of any of the above; and
-
any person who has previously received a Challenge prize under these Rules within the 12-month period immediately preceding the Challenge Period.
3.3 Verification. The Organiser reserves the right to verify the eligibility of any participant at any time and to disqualify any individual who does not satisfy the eligibility criteria, who provides false or misleading information, or whose entry is otherwise not in accordance with these Rules. Proof of eligibility (including proof of age, identity, and residency) may be required before any prize or reward is delivered.
4. CHALLENGE PERIOD
The Challenge commences on April 17, 2026 at 00:00 Coordinated Universal Time (UTC) and closes on July 1, 2026 at 23:59 UTC (the “Challenge Period”). Entries received outside this period will not be accepted.
The Organiser reserves the right to extend, shorten, or otherwise modify the Challenge Period by giving reasonable advance notice to existing participants where practicable, provided that no such modification shall deprive a Completed Participant of a prize or reward they have already qualified for prior to the modification.
5. HOW TO ENTER
5.1 Standard Entry via the App
To enter the Challenge through the App, participants must, during the Challenge Period:
register for the Challenge through the App and accept these Rules and any in-App instructions applicable to the Challenge;
complete all required daily Challenge tasks within the Challenge Period in accordance with the rules and instructions displayed in the App; and
where required, submit the User-Generated Content specified in Section 10.1.
Participation is voluntary. However, certain features that form part of the Challenge mechanics may only be accessible to subscribers. See Section 5.2 for subscription-related disclosures.
5.2. Important — Subscription and Purchase Disclosure: The App offers paid subscription plans (weekly, monthly, and annual). Accessing certain features of the App, including some Challenge tasks, may require a paid subscription. Participants who engage with the App’s Promotional Funnel (including any web-based quiz or onboarding flow) may be presented with an offer to purchase a subscription.
The following disclosures apply in connection with any subscription purchase made through the Promotional Funnel or the App:

Auto-Renewal: Subscriptions auto-renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date. The applicable renewal fee will be charged to your selected payment method.
-
Free Trials: If a free trial is offered, it will be clearly stated during checkout. Unless you cancel at least 24 hours before the trial ends, your payment method will be charged the applicable subscription fee.
-
Cancellation: To cancel, visit your App Store, Google Play account settings, or your web account profile (where applicable). Deleting the App or your account does not cancel your subscription.

Refunds: Refund eligibility is governed by the Terms of Use. Participants in the separate subscription-challenge refund programme described in the Terms of Use should refer to the “Challenges” section of those Terms for applicable conditions.

Independence from Prize Draw: A subscription purchase does not improve your chances of winning the Main Prize, which is awarded by random draw from all eligible Completed Participants.
Full subscription terms are set out in Section 6 of the Terms of Use. In the event of any conflict between these Rules and the Terms of Use regarding subscription matters, the Terms of Use shall prevail.
6. CHALLENGE MECHANICS
6.1 Task Completion. To be a Completed Participant eligible for the entry into the Main Prize draw, a participant must:
-
complete all required daily Challenge tasks as specified in the App during the Challenge Period;
-
comply with the Challenge rules and instructions displayed in the App at all times; and
-
where applicable, submit any required User-Generated Content (see Section 10) within the time period specified in the App.
6.2 Skill-Based Completion Requirement. The Challenge requires participants to perform physical dance exercise tasks over the applicable period. Completion is assessed by reference to participants’ own performance of the required tasks, as tracked through the App.
6.3 Main Prize — Chance-Based Draw. The Main Prize is awarded by random selection from among Completed Participants. The Main Prize draw is a chance-based element of the Challenge. No skill is required to enter the draw.
6.4 Tracking and Verification. Completion of tasks will be tracked by the App. Participants acknowledge that the App’s tracking data is the authoritative record of participation and completion. The Organiser reserves the right to verify completion through additional means, including requesting screenshots, account data, or other evidence, and may disqualify any participant where completion cannot be independently verified.
6.5 Limits Per Person. Each eligible individual may submit one (1) Entry per household per Challenge Period. Multiple accounts, automated entries, bots, scripts, or any other means of gaming the Challenge system are prohibited and will result in disqualification of all entries associated with that individual or household.
7. PRIZES AND REWARDS
7.1 Main Prize
Participants who successfully complete the Challenge in accordance with Section 6 may be eligible to receive a prize, subject to the conditions set out below:
-
Type of Prize:
The Organiser will award a limited number of prizes per Challenge Period, which may include:
- (i) one (1) smartphone device of the current flagship model of a major manufacturer (e.g., iPhone (Not sponsored or endorsed by Apple Inc. iPhone is a trademark of Apple Inc.)); and/or
- (ii) up to five (5) digital gift cards (e.g., Amazon gift cards) or equivalent rewards of similar value, as specified in the App or applicable promotional materials.

Value: The value of each prize will be as stated in the App at the time of the Challenge (indicative retail value: up to USD $1,500 for the smartphone device and up to USD $100 per gift card, or local currency equivalent, subject to availability and exchange rate fluctuations).

Selection Method: Winners will be selected by random draw from all eligible Completed Participants at the close of the Challenge Period. The draw will be conducted by the Organiser or an authorised independent third-party service. The number of winners shall not exceed the total number of available prizes. The outcome of the draw is final and binding.

Odds: Odds of winning the Main Prize depend on the total number of valid Entries received during the Challenge Period.
-
No Guaranteed Reward: For the avoidance of doubt, completion of the Challenge does not guarantee receipt of any prize. All prizes are awarded solely on the basis of the random selection process described above.
7.2 General Prize Conditions
The following conditions apply to all prizes and rewards:
-
Prizes and rewards are non-transferable, non-exchangeable, and have no cash alternative, except where required by applicable law.
-
If a prize or reward is unavailable, the Organiser may substitute it with one of equal or greater value without prior notice.
-
Prizes and rewards will only be delivered to an eligible winner or Completed Participant who has satisfied all applicable eligibility, completion, and verification requirements.
-
The Organiser is not responsible for any taxes, duties, customs charges, import fees, or additional costs associated with receiving or using a prize or reward, except where required by applicable law. Winners and recipients are solely responsible for all such costs.
-
Prizes and rewards are limited to the items described above; no additional compensation, royalties, or payments are owed.
-
The Organiser reserves the right to withhold, cancel, or withdraw any prize or reward in the event of suspected fraud, manipulation, breach of these Rules, or violation of applicable law.
8. WINNER SELECTION AND NOTIFICATION
8.1 Main Prize Draw. Following the close of the Challenge Period, the Organiser (or its designated agent) will conduct a random draw from all eligible Completed Participants. The draw will take place within fourteen (14) days of the close of the Challenge Period.
8.2 Notification. Winners and reward recipients will be notified by one or more of the following means:
-
via a notification within the App;
-
by email to the address associated with the participant’s App account
-
through any other method specified in the applicable Challenge materials.
8.3 Response Requirement. Winners of the Main Prize must respond to the Organiser’s notification within fourteen (14) days of the date of notification (or such shorter period as specified in the notification) and must provide all information reasonably required to verify their eligibility and deliver the prize. Failure to respond within this period, or failure to provide accurate and complete information, may result in:
-
disqualification of the selected winner; and
-
selection of an alternative winner from the eligible pool, at the Organiser’s discretion.
8.4 No Obligation. The Organiser is not obliged to award the Main Prize if, following reasonable efforts, it is unable to contact the selected winner or verify their eligibility within [thirty (30)] days of the initial notification.
9. PRIZE DELIVERY
9.1 Physical Prizes. Physical prizes will be shipped by the Organiser (or its authorised fulfilment partner) to the delivery address provided by the winner. Delivery will be arranged within thirty (30) days of confirmation of eligibility and receipt of all required information. The Organiser is not responsible for delivery failures resulting from an incorrect or incomplete address provided by the winner.
9.2 Digital Rewards. Digital rewards (including gift cards, promotional codes, and in-app items) will be delivered electronically to the email address associated with the participant’s App account, or made available within the App, within thirty (30) days of verification of completion.
9.3 Delivery Delays. Delivery timelines are subject to factors outside the Organiser’s reasonable control, including logistical, technical, or third-party service delays, force majeure events, and import or customs clearance requirements. The Organiser will notify affected winners of any material delay.
9.4 International Delivery. The Organiser does not guarantee delivery to all jurisdictions. If a prize cannot be lawfully delivered to a winner’s jurisdiction, or if import duties or restrictions prevent delivery, the Organiser may, at its sole discretion, offer a cash equivalent (to the extent permitted by law) or decline to deliver the prize, in which case the winner will receive no alternative compensation unless required by applicable law.
10. USER-GENERATED CONTENT AND LICENCE
10.1 Submission of Content
Where the Challenge requires participants to submit User-Generated Content (such as photos or videos of themselves performing Challenge tasks), submissions must:
-
be original works created solely by the submitting participant;
-
not infringe the intellectual property rights, privacy rights, or other rights of any third party;
-
not contain any defamatory, obscene, offensive, discriminatory, or otherwise unlawful material;
-
not depict or involve any third party without that party’s prior written consent (or, in the case of minors, the consent of their legal guardian); and
-
comply with any specific content guidelines published by the Organiser in the App or applicable promotional materials.
The Organiser reserves the right to reject any submission that does not comply with these requirements, at its sole discretion and without liability.
10.2 Consent and Licence Grant
Express Opt-In Consent Required. Participation in the UGC element of the Challenge requires participants to provide their express consent to the use of their submitted content for marketing and promotional purposes. This consent is obtained through an explicit in-App checkbox mechanism presented at the time of Challenge registration (the “UGC Consent Checkbox”). Participants who do not provide this consent through the UGC Consent Checkbox will not be required to submit UGC and may still participate in the Challenge on the basis of task completion alone.
By ticking the UGC Consent Checkbox, each participating user grants to the Organiser (and its authorised agents, licensees, and commercial partners) a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to:
-
use, reproduce, edit, adapt, reformat, translate, and create derivative works of the submitted UGC;
-
publicly display, distribute, broadcast, and otherwise communicate the UGC to the public through any media, including the App, the Organiser’s websites, social media channels (including Instagram, Facebook, TikTok, and YouTube), and third-party advertising platforms;
-
use the participant’s name, username, likeness, image, photograph, voice, and statements made in connection with the submitted UGC for advertising, marketing, and promotional purposes; and
-
identify the participant as the creator of the UGC in connection with any use thereof,
in each case, for any commercial or non-commercial purpose and for an unlimited period, unless and until the licence is validly revoked in accordance with Section 10.4 below. This licence is separate from and in addition to the general UGC licence set out in the Terms of Use.
Consideration. The licence granted in this Section 10.2 is granted in consideration of the participant’s eligibility to participate in the Challenge and to receive a prize or reward, if applicable. Participants acknowledge that they will not receive any additional compensation for the Organiser’s use of their UGC beyond the prizes and rewards described in Section 7.
10.3 Moral Rights
To the fullest extent permitted by applicable law, participants waive any moral rights (including rights of integrity and attribution) they may have in respect of their submitted UGC. Where such a waiver is not permitted by law, each participant agrees not to assert such rights against the Organiser or its licensees in connection with any use of the UGC authorised under Section 10.2.
10.4 Revocation of UGC Consent and Licence
A participant may withdraw their UGC consent and revoke the licence granted under Section 10.2 at any time by contacting the Organiser at https://account.dance-bit.com/contact-form and specifying the content to which the revocation applies. Upon receipt of a valid revocation request, the Organiser will take reasonable steps to cease further use of the specified UGC, subject to:
-
uses already made prior to the date of revocation, which remain lawful;
-
technical or operational limitations that may prevent immediate removal from all platforms; and
-
the Organiser’s right to retain copies as required by applicable law or for legitimate business purposes (including evidence retention).
Revocation of UGC consent does not affect a participant’s eligibility for any prize or reward they have already qualified for under these Rules. However, participants who withdraw their UGC consent after submission acknowledge that they may no longer be eligible for any UGC-specific element of the Challenge, if applicable.
10.5 Ownership and Representations
Participant representations. By submitting UGC and ticking the UGC Consent Checkbox, each participant represents and warrants that:

they are the sole author and owner of the submitted UGC and have the full right and authority to grant the licence set out in Section 10.2;
-
the submitted UGC does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
-
all persons depicted in the UGC have provided their prior written consent to its use as described in Section 10.2; and
-
the submitted UGC complies with all applicable laws and regulations.
The Organiser retains no ownership rights in UGC and does not claim any title to submitted content beyond the licence granted under Section 10.2.
11. DATA PROTECTION AND PRIVACY
By participating in the Challenge, you acknowledge and agree that the collection and processing of your personal data in connection with the Challenge is governed by our Privacy Policy. For further information on how we process your personal data, please refer to our Privacy Policy.
12. PROHIBITED CONDUCT AND DISQUALIFICATION
12.1 Prohibited Conduct. The following conduct is strictly prohibited and will result in immediate disqualification:
-
creating or using multiple accounts, fake accounts, or other means to submit more than one Entry per person per Challenge Period;
-
using bots, scripts, macros, automated tools, or any other device or software to participate in or manipulate the Challenge;
-
tampering with or interfering with the App, the Challenge system, or any tracking or verification mechanism;
-
submitting UGC that is not the participant’s own original work, or that infringes third-party rights;
-
any form of fraud, deception, misrepresentation, or impersonation in connection with the Challenge;
-
attempting to influence, interfere with, or corrupt the prize draw or any selection process; and
-
any other conduct that is inconsistent with the spirit and intent of these Rules, as determined by the Organiser in its reasonable discretion.
12.2 Consequences of Disqualification. The Organiser reserves the right to disqualify any participant for breach of these Rules at any time, including after a prize or reward has been awarded. In the event of disqualification:
-
any prize or reward awarded to the disqualified participant shall be forfeited and may be re-awarded to an alternative eligible participant;
-
the Organiser may take any legal action available to it to recover any prize or reward already delivered to a disqualified participant; and
-
the Organiser may refer any suspected fraudulent activity to the relevant law enforcement authorities.
13. AUDIT AND VERIFICATION RIGHTS
The Organiser reserves the right, at any time during or after the Challenge Period, to:
-
verify any participant’s eligibility, identity, age, and compliance with these Rules;
-
request additional evidence of task completion (including screenshots, account activity logs, or other documentation);
-
audit any Entry, completion record, or UGC submission;
-
reject or invalidate any Entry or submission that cannot be verified to the Organiser’s reasonable satisfaction; and
Participants must cooperate with any verification or audit request. Failure to do so within a reasonable time may be treated as a failure to satisfy the eligibility or completion requirements, and may result in disqualification.
14. RELATIONSHIP TO TERMS OF USE AND SUBSCRIPTION TERMS
Participation in the Challenge is subject to the App’s Terms of Use, which are incorporated into these Rules by reference. In the event of any conflict between these Rules and the Terms of Use, these Rules shall prevail with respect to the specific subject matter of the Challenge (including prize eligibility, winner selection, UGC consent, and the UGC licence), and the Terms of Use shall prevail with respect to all other matters (including subscription, billing, data protection, and dispute resolution).
15. MODIFICATION, SUSPENSION, AND CANCELLATION
The Organiser reserves the right, at its sole discretion, to:
-
modify these Rules at any time, provided that no modification shall adversely affect the rights of Completed Participants who have already satisfied all completion and eligibility requirements prior to the modification;
-
suspend, modify, or cancel the Challenge in whole or in part at any time, including where:
- (i) fraud, abuse, manipulation, or technical failures affect the integrity of the Challenge;
- (ii) the Challenge cannot be conducted as planned due to circumstances beyond the Organiser’s reasonable control
- (including acts of God, natural disasters, public health emergencies, governmental restrictions, or legal prohibitions); or
- (iii) the Organiser determines, acting reasonably, that continuation of the Challenge is not practicable or lawful.
In the event of cancellation, the Organiser will use reasonable efforts to notify participants.
16. LIMITATION OF LIABILITY
16.1 General Disclaimer. THE ORGANISER MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE AVAILABILITY, RELIABILITY, ACCURACY, OR COMPLETENESS OF THE CHALLENGE OR ANY PRIZE OR REWARD. THE CHALLENGE IS OFFERED “AS IS” AND “AS AVAILABLE”.
16.2 Technical Issues. THE ORGANISER IS NOT RESPONSIBLE FOR ANY LOST, DELAYED, MISDIRECTED, INCOMPLETE, INACCURATE, OR CORRUPTED ENTRIES, OR FOR ANY TECHNICAL ERRORS, MALFUNCTIONS, NETWORK FAILURES, SERVER OUTAGES, DEVICE LIMITATIONS, OR OTHER TECHNICAL DISRUPTIONS OF ANY KIND THAT MAY AFFECT PARTICIPATION IN THE CHALLENGE OR THE TRACKING OF TASK COMPLETION.
16.3 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANISER’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM, LOSS, OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH THE CHALLENGE SHALL NOT EXCEED THE RETAIL VALUE OF THE HIGHEST SINGLE PRIZE OR REWARD OFFERED IN THE CHALLENGE.
16.4 Exclusion of Consequential Losses. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANISER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, EVEN IF THE ORGANISER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17. JURISDICTIONAL NOTICES
17.1 United States
General. This Challenge is void where prohibited by law. No purchase is necessary to enter or win. Making a purchase will not improve your chances of winning the Main Prize.
California. California residents are advised of the following:

The Main Prize is awarded by random draw; no purchase or payment is required to enter the draw.
-
California residents expressly waive the provisions of California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favour at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” By participating in this Challenge, California residents acknowledge this waiver.
New York and Florida. Certain US states impose additional requirements on prize promotions. Participants in New York and Florida are advised that copies of these Rules and a list of prize winners (once the Challenge is concluded) may be obtained by writing to the Organiser at 151 Wardour Street, London, England, W1F 8WE, United Kingdom, or by emailing us through the contact form at https://account.dance-bit.com/contact-form, within ninety (90) days of the close of the Challenge Period.
Colorado. Colorado residents may obtain a copy of these Rules and the prize list by writing to the Organiser at the address above.
17.2 United Kingdom
For participants in the United Kingdom, the following applies:
Gambling Act 2005: The Main Prize is awarded by random draw. No payment is required to participate in the prize draw.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Rules, and any non-contractual obligation, dispute, or claim arising out of or in connection with them or their subject matter, are governed by, and shall be construed and enforced in accordance with, the governing law and dispute resolution provisions set out in the App's Terms of Use (as amended from time to time), which are incorporated into these Rules by reference. Participants are encouraged to review the Terms of Use, and in particular the sections headed "Governing Law" and "Dispute Resolution by Binding Arbitration", before participating in the Challenge.
Nothing in these Rules affects any mandatory statutory rights you may have under the law of your country of habitual residence that cannot be excluded or limited by contract.
19. GENERAL PROVISIONS

Entire agreement: These Rules, together with the Terms of Use and Privacy Policy, constitute the entire agreement between the participant and the Organiser in relation to the Challenge and supersede all prior representations, communications, and understandings.
-
Severability: If any provision of these Rules is found to be invalid, illegal, or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
-
No waiver: Failure by the Organiser to enforce any provision of these Rules on any occasion shall not constitute a waiver of its right to enforce that provision on any subsequent occasion.
